1. Acceptance of Terms
By accessing or using our website (mediaconvex.mw or related domains) or engaging our services, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the site or our services.
2. Services
We provide creative services including but not limited to branding & identity design, graphic design, video production & editing, web development & digital solutions. Specific scope, deliverables, timelines, and fees are outlined in a separate Proposal/Quote/Invoice ("Project Agreement") which becomes part of these Terms upon acceptance.
3. Project Process & Revisions
- We provide concepts/drafts based on your brief.
- Included revisions: Typically 2–3 rounds (as specified in Project Agreement). Additional revisions may incur fees.
- You must provide feedback within agreed timeframes (usually 7 days); delays may affect timelines.
- Final approval is given in writing (email/WhatsApp acceptable).
4. Payment Terms
- Deposits: Usually 30–50% upfront to commence work.
- Balance: Due upon final delivery/approval or in milestones as agreed.
- Methods: Mobile money (Airtel/TNM Mpamba), bank transfer, cash (Lilongwe), PayPal (international).
- Late payments: May incur interest (5% per month) or suspension of work.
- All prices in Malawian Kwacha (MK) unless otherwise stated; exclusive of taxes if applicable.
5. Intellectual Property & Ownership
- Upon full payment, you receive ownership/license to use the final deliverables for the agreed purpose.
- We retain rights to: Preliminary concepts, source files (unless specified), and portfolio usage (credit given).
- You warrant that materials you provide do not infringe third-party rights.
- We grant you a non-exclusive license to use our work; we may showcase it in our portfolio unless you request confidentiality.
6. Client Responsibilities
You agree to:
- Provide accurate, timely information, content, feedback, and approvals.
- Ensure all provided materials are legal and owned by you.
- Pay as agreed.
7. Cancellation & Termination
- Either party may terminate with written notice.
- If you cancel: You pay for completed work + reasonable costs; deposit non-refundable after start.
- If we terminate (e.g., non-payment): Work stops; you pay for completed portion.
8. Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the fees paid for the specific project. We are not liable for indirect, consequential, or punitive damages (e.g., lost profits). Services provided "as is" without warranties beyond those in the Project Agreement.
9. Indemnification
You agree to indemnify us against claims arising from your content, misuse of deliverables, or breach of these Terms.
10. Governing Law & Disputes
These Terms are governed by the laws of the Republic of Malawi. Disputes shall be resolved through good-faith negotiation, failing which, by arbitration in Lilongwe or courts of competent jurisdiction in Malawi.
11. Changes to Terms
We may update these Terms. Continued use constitutes acceptance. Check this page periodically.
